If you license a single Style (or more) of this typeface, then return later to license the corresponding weight pair, All Styles, or a Set, the cost will be reduced by the amount already paid. This is covered by our Taste Test policy. When you log in to your account, you can manage Taste Test licensing and extend licensing to cover additional Computers and Unique Visitors.
When purchasing unified licensing, the fonts are provided in CFF-flavored OpenType (OTF) and TrueType (TTF) formats, as well as Web Open File Format, v1 & v2 (WOFF & WOFF2) & EOT. You may use the fonts on the maximum number of Workstations within your organization as specified in the license table. You may serve the webfonts to the maximum number of Unique Visitors per Month as specified in the license table. If applicable, you may incorporated the fonts into the code package of software application(s) across multiple operating systems, including iOS, Android, and Mac OS. Blackletra End User License Agreement / Version 3.0, 2020.10
This End User License Agreement (EULA) becomes a contract between you (the user) and Blackletra Type Foundry when you purchase a license and/or install the font for the use on any workstation. If you do not wish to be bound by this agreement you may not access, use or download the font software. If you believe that your use or need is not specified, please ask us before buying a license. You are not buying the copyright of the fonts, but rather the right to use them. Please read the entire agreement before agreeing to abide by its terms and conditions.
1.1 “Blackletra” is Blackletra Type Foundry, the trademark of Blackletra Tipografia-ME. “You” and “End User” refer to the consumer who has purchased one or more licenses to use the fonts. A manufacturer, distributor, reseller, dealer, sub licenser, or Original Equipment Manufacturer (“OEM”) is not an end user. Blackletra products may not be distributed and/or sold to third parties without the prior written consent of Blackletra. In this agreement, “Font”, “Fonts” or “Font Software” are synonyms, they are defined as the fonts and Software drawings identified on your sales receipt.
1.2 “Website” is defined as a collection of web pages located under the domain or domains specified in your invoice. The website can be viewed by a web browser and/or through a web-based mobile application.
1.3 “Domain” is the name of a website’s home page. The domain may be comprised of one unique domain name (as in “abc” of http://www.abc.com) or multiple sub-domains (shop.abc.com, or “blog” of blog.abc.com, etc.). Under this license you must own the domain and control the content of the licensed websites.
1.4 “Unique monthly visitors” is the average monthly amount of visitors to your site (not the same as pageviews).
1.5 Webfonts are web font versions, usually in .woff, .woff2, .eot, or .svg formats.
2. License & Rights
2.1 A perpetual, non-exclusive, non-transferable license for the use of a font software is granted for your personal business or internal use only, and subject to all terms and conditions of this agreement. This license may be revoked by Blackletra.
2.2 You have no rights over the font software other than those expressly set forth in this agreement.
2.3 You agree that Blackletra holds all rights to the font software, its structure, organization, code and related files, including all copyrights, design and trademark rights.
2.4 You agree that the font software, its structure, organization, code and related files are trade secrets of Blackletra and you agree to treat them as such.
2.5 Any use of the font software not expressly permitted by this agreement constitutes a breach of ownership. All rights not granted under this Agreement are expressly reserved to Blackletra.
2.6 You acknowledge that the fonts are, among other means, protected under Brazilian trademark and/or copyright law, by the trademark and/or copyright and design laws of other nations and by international treaties.
3. Allowed Uses, restrictions & embedding
3.1 DESKTOP: Fonts can be installed and used on the number of computers identified on your invoice (you can extend the license to more computers at any time on our site). Only files provided by Blackletra can be used.
3.2 WEB: Webfonts can be used to create texts on your site through the @font-face CSS rule, only for the domains specified on your sales receipt and respecting the “Unique monthly visitors” limit specified on your invoice. Only files in the .woff or .eot formats provided by Blackletra can be used.
3.3 WEB: There is no limit to the number of domains or sub-domains in which Webfonts can be served as long as they all belong to and are under the exclusive control of the licensing organization. The licensor is responsible for ensuring that the domain names of all sites that use Webfonts are included in the license.
3.4 WEB: Your estimated monthly traffic for your site, as measured in Unique Monthly Visitors, should not exceed the amount indicated on your sales receipt. If this happens during the period of three (3) consecutive months, you must purchase an extension of your license that allows the increase of visitors. Blackletra reserves the right to inspect or monitor your use of the webfonts.
3.5 WEB: You may not use the fonts as a tool or feature for third parties to create custom products or documents, they are licensed only for your use. Fonts cannot be served to unlicensed domains even if they are hosted in a licensed domain.
3.6 Hosting of webfonts by any webfonts hosting service is strictly prohibited except with the prior written permission of Blackletra.
3.7 SERVER: You can install fonts on a single file server for the use of a local network within your business or home as long as the number of computers that can access the fonts on the server does not exceed the number of computers allowed on your invoice.
3.8 You may make backup copies of the fonts solely for backup purposes, but you agree to maintain custody and control over such copies.
3.9 You agree to indemnify Blackletra for all costs or damages caused by failures to protect the files.
3.10 Making the font software of Blackletra freely accessible and/or freely downloadable via the internet by any means is expressly prohibited.
3.11 You may not rent, lease, sublicense, lend or distribute the font software, or any copy thereof, except as expressly provided herein.
3.12 MOBILE APPS: You can embed fonts or rasterized images from the fonts (i.e. GIF, JPG etc.) into .pdf documents or Flash files (including sIFR), for viewing and printing only and you are allowed to distribute the font by embedding it in the number of mobile apps specified in your order, so long as the font is embedded in such a way that the reader is restricted from changing its embedding permissions, extracting the complete font from the document, and creating or editing new content using the fonts.
3.13 ePUB: You can use the fonts in electronic publications (such as e-books or e-magazines) so long as the fonts are installed only in the number of computers specified in your order.
3.14 This license prohibits the incorporation, inclusion or linking of the fonts within OEM hardware and software. You will need a custom license for this.
3.15 If the yearly gross revenue of the licensee exceeds US$ 30,000,000 the licensee will need to purchase a customized license in order to be able to use our fonts in their logo, in television broadcasts or cinema movies.
4. Third parties
4.1 The user may provide a copy of the fonts to a printer or service bureau in order to print a document as long as the service bureau erases the copy of the fonts as soon as the work is finished.
4.2 Fonts may not be stored or used in any way that makes them accessible to the public or to unlicensed third parties.
4.3 Except as otherwise provided, you may not copy, distribute or provide fonts to third parties.
5. Modifications and Derivative Works
5.1 You may not adapt, modify or alter the font to create a derivative product.
5.2 You agree not to hire any third party to modify the fonts without the prior written consent of Blackletra.
6. Updates and Prices
6.1 Blackletra may possibly update the product. In these situations, price updates may apply.
7. Limitation of Liability
7.1 Blackletra warrants that the font software will operate for ninety (90) days after receipt.
7.2 Although we do our best to achieve the highest technical level in our products, Blackletra cannot guarantee that the operation of the fonts will be unimpeded, uninterrupted or error-free, nor are the fonts without defects and, in no case, must be liable for any damages including financial loss, lost profits or lost savings.
7.3 You agree that if the font does not operate according to the technical specifications, the liability for the repair will be limited to the replacement of the font.
7.4 Blackletra shall have no responsibility to replace the product or reimburse the purchase if any failures or problems occur due to accidents, abuse or misuse of the font software.
7.5 Blackletraackletra and its suppliers cannot guarantee the performance or results that you can obtain using the fonts. It is your responsibility to ensure that the fonts are fit for your purposes.
8.1 The agreement will automatically terminate in the event of failure by you or any of your authorized agents to comply with these terms without notice. You agree to destroy all copies of the fonts, including backup copies, upon termination of this agreement.
9. Choice of Law and Agreements
9.1 This font software license agreement is governed by the laws of the Federative Republic of Brazil. The user of the font software license agreement confirms that he or she has read all the statutes of this license agreement, understood and agreed to all the obligations and conditions set forth in this license agreement.
9.2 You expressly agree that this Agreement shall be governed by the laws of the State of São Paulo, Brazil, as they apply to contracts wholly performed therein and without respect to its conflict of laws provisions or the conflict of laws provisions of any other jurisdiction. You expressly submit to the jurisdiction of the state and federal courts in the State of São Paulo, Brazil. You hereby expressly agree that the application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded.
9.3 Blackletra reserves the right to change or modify this license agreement at any time and without prior notice to the extent permitted by law.
